Welcome to Sidekick’s Technical Support Services. By subscribing to or using our services, you agree to the following Terms & Conditions and Terms of Use. Please read them carefully before using our platform.
1. SERVICE CATEGORIES OVERVIEW
Sidekick offers multiple categories of services. Each category is governed by these Terms and by the specific provisions applicable to that service.
1.1 Service Categories
Sidekick services may include, but are not limited to:
- General Technical Support Services
- Technical Support with CRM access
- Diagnostic and consulting services for automation and digital tools
- Paid advertising setup and monitoring (“Ad Run”)
- Website implementation and configuration
- Website hosting and maintenance
- Operational, Administrative Support
Each service operates independently, and participation in one service does not imply inclusion of others unless explicitly stated in writing.
Sidekick may provide services directly or through team members, contractors, subcontractors, affiliates, or authorized personnel utilizing Sidekick systems, workflows, platforms, or operational processes. Any such services shall be deemed services rendered by Sidekick.
2. TECHNICAL SUPPORT & FREE CRM ACCESS
2.1 Scope of Technical Support
Sidekick provides technical support only for platform functionality, onboarding assistance, and basic troubleshooting.
Support is provided via email during business hours: Monday–Friday, 8:00 AM – 5:00 PM (EST).
Standard response time is within 24 business hours.
2.2 Free CRM Access
Active technical support subscribers receive free access to a CRM platform for the duration of an active subscription.
CRM access is conditional upon timely payment and compliance with these Terms.
2.3 Exclusions
Technical support does not include custom workflows, funnels, automations, integrations, websites, or advertising services.
These services must be purchased separately.
3. DIAGNOSTIC, STRATEGY & IMPLEMENTATION SERVICES
3.1 Nature of Service
Diagnostic and consulting services are designed to analyze, recommend, and/or implement automations and digital tools.
Outcomes depend on business conditions, client execution, and external variables.
3.2 No Business Guarantees
Sidekick does not guarantee business growth, revenue increases, lead volume, or operational results.
All recommendations are advisory and technical in nature.
The Client remains solely responsible for all decisions, actions, filings, submissions, communications, and use of information or materials provided during the course of services.
4. AD SETUP & AD RUN SERVICES
4.1 Scope of Service
Sidekick provides technical setup, configuration, and monitoring of paid advertising campaigns.
Sidekick does not guarantee results, including leads, conversions, sales, or ROI.
4.2 Third-Party Advertising Platforms
Sidekick may use third-party platforms such as Meta, Google, TikTok, or others.
Sidekick is not responsible for:
- Ad disapprovals
- Account restrictions or bans
- Platform outages
- Policy enforcement by third-party providers
Clients are solely responsible for compliance with all platform policies.
4.3 Advertising Budget Requirement
Clients must maintain a minimum ad spend of $30 USD per day, paid directly to the advertising platform.
Ad spend is separate from Sidekick fees and is non-refundable.
Failure to meet the minimum spend may result in paused or discontinued campaigns without liability to Sidekick.
4.4 No Performance Liability
Sidekick is not liable for underperformance, financial losses, or unmet expectations related to advertising campaigns.
5. WEBSITE IMPLEMENTATION SERVICES
5.1 Scope & Pricing
Website implementation includes a one-time setup fee.
May include:
- Home page
- Services page
- Checkout page or section
- Contact page or section
Page redirects where applicable
5.2 Client-Provided Content
Clients must provide all copy, images, branding, and content.
Sidekick is not responsible for delays caused by missing or incomplete materials.
5.3 Sidekick-Created Content (If Applicable)
If Sidekick provides copy or images:
Sidekick assumes no responsibility for accuracy, legality, compliance, or claims made.
The Client bears full responsibility for reviewing and approving all content.
5.4 Review Period
Clients have 7 calendar days from delivery to request revisions.
Revision requests must be submitted in writing.
Requests after 7 days may incur additional fees.
5.5 Content Liability Disclaimer
Sidekick is not liable for copyright infringement, false claims, regulatory violations, or legal consequences related to website content.
6. WEBSITE HOSTING & MAINTENANCE
6.1 Hosting Retainer
Website hosting and maintenance is provided under a $90 USD monthly retainer.
Hosting includes basic technical maintenance and platform availability.
6.2 Limitations
Hosting does not include:
- Content updates
- Design changes
- New pages
- Marketing services
These require separate agreements or fees.
6.3 Termination
Hosting services may be terminated upon cancellation or non-payment.
Sidekick is not responsible for data loss after termination.
7. OWNERSHIP, DELIVERABLES & ACCESS
All deliverables, drafts, databases, timelines, organizational systems, workflows, research materials, documents, digital assets, account configurations, and related materials created, compiled, or managed by Sidekick remain the property of Sidekick until all outstanding balances are paid in full.
Upon full settlement of outstanding balances, applicable deliverables and access rights will be transferred to the Client where applicable.
Sidekick reserves the right to withhold transfer, release, export, migration, or administrative access to materials, systems, or organizational assets until payment obligations are satisfied.
Outstanding balances may accrue reasonable collection costs, administrative recovery fees, arbitration costs, legal expenses, and/or interest where permitted by applicable law.
8. SUBSCRIPTION, BILLING & FEES
All fees are billed in USD unless stated otherwise.
Additional charges may apply for SMS, calls, or premium features.
A $300 USD transfer-out fee applies if the Client requests transfer of their CRM subaccount.
Non-payment may result in suspension after a 7-day grace period.
Additional requests, expanded project scope, ongoing communications, meetings, administrative coordination, research, troubleshooting, revisions, or supplemental support requested by the Client may result in additional billable time and fees.
Phone calls, virtual meetings, messaging support, coordination sessions, troubleshooting sessions, and operational communications may constitute billable service time unless otherwise agreed in writing.
Client requests, approvals, ongoing participation, scheduling of meetings or calls, continued communications, continued use of services, or continued engagement after receipt of invoices, billing summaries, or service reports may constitute acknowledgment and acceptance of services rendered and associated charges.
The Client agrees not to initiate unjustified chargebacks, payment reversals, or payment disputes for services already rendered, delivered, scheduled, or substantially performed.
Invoices and outstanding balances are due according to the payment terms stated in the applicable invoice, agreement, or billing communication.
Balances not paid within the applicable payment period may be subject to:
- late fees,
- administrative recovery fees,
- interest charges where permitted by applicable law,
- suspension of services or access,
- withholding of deliverables or transfer of materials,
- and/or referral to third-party collection providers or legal representatives.
Sidekick reserves the right to suspend ongoing work, limit access to systems or materials, pause transfers, or discontinue services until outstanding balances are resolved.
The Client agrees to remain responsible for any reasonable costs associated with recovery or collection of unpaid balances, including collection fees, administrative costs, arbitration costs, court costs, attorney’s fees, and related expenses where permitted by applicable law.
Overdue balances may incur a late fee of 1.5% per month (18% annually), or the maximum amount permitted by applicable law, in addition to applicable collection or administrative recovery costs.
Failure to dispute an invoice, billing statement, or recorded service hours within a 10 day period after delivery may be considered acknowledgment of the charges and services rendered.
Requests must be made at least 5 days before the next billing cycle.
No refunds are issued for past payments.
Access to services ends at the conclusion of the billing cycle.
10. RESTRICTIONS & COMPLIANCE
Clients agree to:
- Avoid spamming, abusive marketing, or illegal activity
- Maintain required licenses (e.g., A2P 10DLC for SMS)
- Comply with all applicable laws and platform policies
Violations may result in suspension or termination without notice.
11. LIABILITY DISCLAIMER
Sidekick does not guarantee results of any kind.
Sidekick is not responsible for:
- Business performance
- Advertising outcomes
- Website conversions
- Third-party platform failures
Services are provided “as is” without warranties.
Sidekick does not guarantee any specific outcome, result, resolution, business success, legal result, financial recovery, operational improvement, or client expectation.
Where applicable, Sidekick’s obligation is limited to the performance of agreed services and/or delivery of agreed project deliverables.
Completion of services, research, technical work, organizational support, communications support, implementation tasks, or project deliverables shall not be interpreted as a guarantee of any specific outcome or result.
12. SERVICE MODIFICATIONS & TERMINATION
Sidekick may modify or discontinue services at any time.
Material changes will be communicated with reasonable notice.
Accounts in violation of these Terms may be terminated immediately.
13. OPEN OFFICE SUPPORT
Subscribers may access weekly open office sessions.
Sessions provide guidance only and do not replace paid services.
14. GOVERNING LAW & DISPUTE RESOLUTION
These Terms are governed by the laws of the State of Florida.
The parties agree to first attempt good-faith resolution of any dispute for a period of thirty (30) days.
If unresolved, Sidekick reserves the right to pursue any lawful collection or dispute resolution method available, including but not limited to:
- direct collection efforts,
- third-party collection services,
- small claims court,
- civil litigation,
- mediation,
- arbitration,
- or other legal or equitable remedies available under applicable law.
The Client agrees that overdue balances may be referred to third-party collection providers or legal representatives for recovery.
15. TERMS OF USE
Access is granted solely to the registered individual or entity.
Credentials may not be shared or transferred without written consent.
Users are responsible for all activity under their account.
Sidekick reserves the right to revoke access for violations.
By using Sidekick services, you acknowledge that you have read, understood, and agreed to these Terms & Conditions.
